1. Acceptance of Terms

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access our services.

2. Description of Services

Whiz Techies provides web development, e-commerce solutions, web application development, and website maintenance services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, including the availability of any feature, database, or content, with or without notice.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access our services and for any activities or actions under your password. We encourage you to use a strong password (a combination of upper and lower case letters, numbers, and symbols) with your account.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Intellectual Property

4.1 Our Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of Whiz Techies and its licensors. The service is protected by copyright, trademark, and other laws of Singapore and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Whiz Techies.

4.2 Your Content

When you upload content to our website or otherwise submit material to us, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute such content in any media. This license exists only for the purpose of operating and improving our services.

You represent and warrant that you own or have the necessary rights to the content you submit and that the content does not infringe upon the intellectual property rights of any third party.

5. User Conduct

You agree not to use our services:

• In any way that violates any applicable national or international law or regulation.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate Whiz Techies, a Whiz Techies employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the service, or which may harm Whiz Techies or users of the service.
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the service, the server on which the service is stored, or any server, computer, or database connected to the service.

6. Payment Terms

For services that require payment, the following terms apply:

• All prices are in Singapore Dollars (SGD) unless otherwise stated.
• Payment is due according to the payment terms specified in your service agreement or invoice.
• We accept payment via credit card, bank transfer, and other methods as specified at the time of purchase.
• Recurring payments will be charged automatically according to the schedule agreed upon.
• You agree to provide current, complete, and accurate purchase and account information for all purchases made through our service.

7. Refund Policy

Our refund policy varies depending on the type of service provided. Please refer to your service agreement for specific refund terms. In general:

• For custom development projects, deposits are non-refundable once work has commenced.
• For subscription services, refunds may be available on a pro-rata basis if canceled within the specified period.
• No refunds will be issued for services that have been fully delivered and accepted.

8. Limitation of Liability

In no event shall Whiz Techies, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the service;
• Any conduct or content of any third party on the service;
• Any content obtained from the service; and
• Unauthorized access, use, or alteration of your transmissions or content,

whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Disclaimer

Your use of the service is at your sole risk. The service is provided on an "AS IS" and "AS AVAILABLE" basis. The service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Whiz Techies does not warrant that a) the service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the service is free of viruses or other harmful components; or d) the results of using the service will meet your requirements.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the service.

12. Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the service, or notify us that you wish to terminate your account.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
